All Ways Electric

All Ways Electric and its affiliates and subsidiaries and the undersigned company (“Company”) are considering working together on the one or more various projects (the “Project”).  In connection with the Project, All Ways Electric may share confidential and/or proprietary information with Company. All Ways Electric and Company understand the confidential nature of such information and desire to keep such information strictly confidential.

Except as required by law, Company shall not disclose any information provided by All Ways Electric to any third party not directly involved in the Project without written consent from All Ways Electric.  Company agrees to keep all information it may obtain concerning the Project in strict confidence to the extent permitted by law. If Company is compelled as a matter of law to provide the confidential information to a third party, Company will provide prior written notice to All Ways Electric with as much opportunity as reasonably possible for All Ways Electric to obtain judicial intervention against such disclosure, if it so chooses.   When the information is no longer needed for the purposes for which it is intended, Company will return the information to All Ways Electric or destroy it. 

Company shall not be obligated to maintain in confidence any information that was already known or otherwise in possession of Company, or publicly available, or which was developed by Company independent of this agreement, or which comes to Company from a third party who is not in violation of any agreement with respect to such information.
